Overview
These terms govern your use of bybrimwell.com and any services provided by Brimwell. By using this site or engaging Brimwell for services, you agree to these terms.

Services
Brimwell provides marketing partnership services, website design and development, strategy audits, and related digital marketing services to small businesses. Specific deliverables, timelines, and pricing are outlined in individual service agreements or proposals provided to each client.

Partnerships and commitments
Monthly partnership agreements run on a 12-month initial commitment. The specific terms of each partnership, including pricing, deliverables, payment schedule, and early exit conditions, are detailed in the signed service agreement provided at the start of each engagement. In the event of a conflict between these general terms and a signed service agreement, the signed service agreement takes precedence.

Website ownership
Websites built by Brimwell as part of a partnership are owned by the client upon completion of the 12-month commitment or upon payment of the remaining ownership balance as outlined in the service agreement. Until that point, the website is operated by Brimwell on behalf of the client.

Payment
Setup fees and monthly partnership fees are due as outlined in the signed service agreement. Late payments may result in a pause in service delivery. Brimwell reserves the right to suspend access to managed services for accounts more than 30 days past due.

Strategy Audit
The Strategy Audit is a standalone service that includes a discovery session, brand report, and 12-month action plan. The $397 fee is non-refundable after the session has been conducted. If the client proceeds to a partnership within 90 days of the audit, the fee is credited toward the setup fee.

Intellectual property
Content created by Brimwell on behalf of a client, including website copy, blog posts, newsletters, and graphics, becomes the property of the client upon full payment. Brimwell retains the right to display completed work in its portfolio unless the client requests otherwise in writing.

Limitation of liability
Brimwell is not responsible for losses resulting from factors outside our control, including algorithm changes, third party platform outages, or market conditions. We do not guarantee specific search rankings or revenue outcomes. We do guarantee honest work, clear communication, and consistent effort on your behalf.

Governing law
These terms are governed by the laws of the state of Arkansas.

Changes to these terms
We may update these terms occasionally. The date at the top of this page reflects the most recent revision. Continued use of our services after an update constitutes acceptance of the revised terms.
